Why is that? Do you lose anything, are the icons rearranged?

it is best to restore, setup as new device and then jailbreak from 2.X to 3.X since many files that are part of the backup are now obsolete and just waste space

Rejailbreaking really won't do anything, it just copies the same files back and doesn't delete any preferences or crap.
